If an Eligible Company does not have a minimum of U.S. $500,000 (the Annual Spend Threshold) in connection with Qualifying Events (as defined in Section 4) contracted at Participating Properties on the last day of the Eligibility Period (as defined in this Section 1.d) and has not met any additional thresholds for specific benefits as set forth in these Terms and Conditions, the Eligible Company will not earn the benefits set forth in these Term and Conditions (the Program Awards), and Marriott may remove the Eligible Company from the Program and terminate the Eligible Companys Program Account (defined in this Section 1.d).
